 PART I PRELIMINARY

  Ordinance may be cited as the Control of Exemption Clauses
Ordinance.
  nterpretation and application
  In this Ordinance--

  In the case of both contract and tort, sections 7 to 12 apply

  he "reasonableness" test
  In relation to a contract term, the requirement of reasonableness 
for
  purposes of this Ordinance and section 4 of the 
Misrepresentation
  nance (Cap. 284) is satisfied only if the court or 
arbitrator
  rmines that the term was a fair and reasonable one to be 
included
  ng regard to the circumstances which were, or ought reasonably
to have
  , known to or in the contemplation of the parties when the 
contract
  made.
  In determining for the purposes of section 11 or 12 whether a
contract
  satisfies the requirement of reasonableness, the court or 
arbitrator
  l have regard in particular to the matters specified in 
Schedule 2;
  this subsection does not prevent the court or arbitrator from
holding,
  ccordance with any rule of law, that a term which purports to 
exclude
  estrict any relevant liability is not a term of the contract.
  
  In relation to a notice (not being a notice having 
contractual
  ct), the requirement of reasonableness under this 
Ordinance is
  sfied only if the court or arbitrator determines that it would
be fair
  reasonable to allow reliance on it, having regard to 
all the
  umstances obtaining when the liability arose or (but for the 
notice)
  d have arisen.
  In determining (under this Ordinance or the 
Misrepresentation
  nance (Cap. 284)) whether a contract term or notice 
satisfies the
  irement of reasonableness, the court or arbitrator shall have 
regard
  articular (but without prejudice to subsection (2) to whether
(and, if
  to what extent) the language in which the term or notice is 
expressed
  language understood by the person as against whom another 
person

  Where by reference to a contract term or notice a person 
seeks to

  Dealing as consumer"
  A party to a contract "deals as consumer" in relation to another
party
  
  he neither makes the contract in the course of a business nor 
holds
  elf out as doing so;
  the other party does make the contract in the course of a 
business;
  
  in the case of a contract governed by the law of sale of goods 
or by
  ion 12, the goods passing under or in pursuance of the contract
are of
  pe ordinarily supplied for private use or consumption.
  Notwithstanding subsection (1), on a sale by auction or by
competitive
  er the buyer is not in any circumstances to be regarded as dealing 
as
  umer.
  It is for the person claiming that a party does not deal as 
consumer
  rove that he does not.

  To the extent that this Ordinance prevents the 
exclusion  or
  riction of any liability it also prevents--
  making the liability or its enforcement subject to 
restrictive or
  ous conditions;
  excluding or restricting any right or remedy in respect 
of the
  ility, or subjecting a person to any prejudice in consequence of 
his

  excluding or restricting rules of evidence or procedure, and (to 
that
  nt) sections 7, 10, 11 and 12 also prevent excluding or

  In the case of other loss or damage, a person cannot so 
exclude or
  rict his liability for negligence except in so far as the 
term or

  Where a contract term or notice purports to exclude or 
restrict
  ility for negligence a person's agreement to or awareness of it
is not
  tself to be taken as indicating his voluntary acceptance of any
risk.

  This section applies as between contracting parties where one of 
them
  s as consumer or on the other's written standard terms of
business.
  As against that party, the other cannot by reference to any 
contract
  --
  When himself in breach of contract, exclude or restrict any 
liability
  is in respect of the breach; or
  claim to be entitled--
  to render a contractual performance substantially different from 
that
  h was reasonably expected of him; or
  in respect of the whole or any part of his contractual obligation,
to
  er no performance at all,

reasonableness.

  nreasonable indemnity clauses
  A person dealing as consumer cannot by reference to any contract 
term
  ade to indemnify another person (whether a party to the 
contract or
  in respect of liability that may be incurred by the 
other for
  igence or breach of contract, except in so far as the contract 
term
  sfies the requirement of reasonableness.
  This section applies whether the liability in question--
  is directly that of the person to be indemnified or is incurred
by him
  riously;
  is to the person dealing as consumer or to someone else. [cf. 1977

  ility arising from sale or supply of goods
  
  "Guarantee" of consumer goods
  In the case of goods of a type ordinarily supplied for private
use or
  umption, where loss or damage--
  arises from the goods proving defective while in consumer use;
and
  results from the negligence of a person concerned in the 
manufacture
  istribution of the goods, liability for the loss or damage 
cannot be
  uded or restricted by reference to any contract term or 
notice
  ained in or operating by reference to a guarantee of the goods.
  For these purposes--
  goods are to be regarded as "in consumer use" when a person is 
using
  , or has them in his possession for use, otherwise than 
exclusively
  the purposes of a business; and
  anything in writing is a guarantee if it contains or 
purports to
  ain some promise or assurance (however worded or 
presented) that
  cts will be made good by complete or partial replacement, 
or by
  ir, monetary compensation or otherwise.
  This section does not apply as between the parties to a contract
under
  n pursuance of which possession or ownership of the goods passed.

  Seller's liability
  Liability for breach of the obligations arising from section 14
of the
  of Goods Ordinance (Cap. 26) (seller's implied undertakings 
as to
  e, etc.) cannot be excluded or restricted by reference to any
contract
  .
  As against a person dealing as consumer, liability for breach of 
the
  gations arising from section 15, 16 or 17 of the Sale of 
Goods
  nance (Cap. 26) (seller's implied undertakings as to 
conformity of
  s with description or sample, or as to their quality or fitness
for a
  icular purpose) cannot be excluded or restricted by reference to 
any
  ract term.
  As against a person dealing otherwise than as consumer, the 
liability
  ified in subsection (2) can be excluded or restricted by reference 
to
  ntract term, but only in so far as the term satisfies the 
requirement
  easonableness.
  The liabilities referred to in this section are not only the 
business
  ilities defined by section 2 (2), but include those arising under 
any

  Miscellaneous contracts under which goods pass
  Where the possession or ownership of goods passes 
under or in
  uance of a contract not governed by the law of sale of 
goods,
  ection (2) to (4) apply in relation to the effect (if any) that 
the
  t or arbitrator is to give to contract terms excluding or 
restricting
  ility for breach of obligation arising by implication of law from 
the
  re of the contract.
  As against a person dealing as consumer, liability in respect of 
the
  's correspondence with description or sample, or their 
quality or
  ess for any particular purpose, cannot be excluded or 
restricted by
  rence to any such term.
  As against a person dealing otherwise than as consumer, that
liability
  be excluded or restricted by reference to such a term, but only
in so
  as the term satisfies the requirement of reasonableness.
  
  Liability in respect of--
  the right to transfer ownership of the goods, or give possession;
or
  the assurance of quiet possession to a person taking 
goods in
  uance of the contract, cannot be excluded or restricted by 
reference
  ny such term except in so far as the term satisfies the requirement
of

  r provisions about contracts
  Effect of breach on "reasonableness" test
  Where for reliance upon it a contract term has to 
satisfy the
  irement of reasonableness, it may be found to do so and be 
given
  ct accordingly notwithstanding that the contract has been 
terminated
  er by breach or by a party electing to treat it as repudiated.
  Where on a breach the contract is nevertheless affirmed by a 
party
  tled to treat as repudiated, this does not of itself 
exclude the
  irement of reasonableness in relation to any contract term.

  Evasion by means of secondary contract
  rson is not bound by any contract term prejudicing or taking 
away
  ts of his which arise under, or in connection with the performance
of,
  her contract, so far as those rights extend to the 
enforcement of
  her's liability which this Ordinance prevents that

  uding or restricting.

  Arbitration agreements
  As against a person dealing as consumer, an agreement to submit
future
  erences to arbitration cannot be enforced except--
  with his written consent signified after the differences in 
question
  arisen; or
  where he has himself had recourse to arbitration in pursuance of 
the
  ement in respect of any differences.
  Subsection (1) does not affect--
  the enforcement of an international arbitration agreement 
within the
  ing of section 2 (1) of the Arbitration Ordinance (Cap. 341);
  laced 76 of 1990 s. 2)
  the resolution of differences arising under any contract so far
as it
  by virtue of Schedule 1, excluded from the operation of section
7, 8,
  12.
 PART III CIRCUMSTANCES WHERE CONTROL DOES NOT APPLY
  
  International supply contracts
  The limits imposed by this Ordinance on the extent to which a 
person
  exclude or restrict liability by reference to a contract term do 
not
  y to liability arising under an international supply contract.
  The terms of an international supply contract are not subject to 
any
  irement of reasonableness under section 8 or 9.
  For the purposes of this section, an international supply 
contract
  s a contract--
  that is either a contract of sale of goods or a contract under 
or in
  uance of which the possession or ownership of goods passes;
  that is made by parties whose places of business (or, if they 
have
  , habitual residences) are in the territories of different 
States or
  in and outside Hong Kong; and
  in the case of which--
  the goods in question are, at the time of the conclusion 
of the
  ract, in the course of carriage, or will be carried, 
from the
  itory of one State to the territory of another, or to or from 
Hong
  from or to a place outside Hong Kong; or
  the acts constituting the offer and acceptance have been done in 
the
  itories of different States or in and outside Hong Kong; or
  ) the contract provides for the goods to be delivered to the
territory
  State other than that within whose territory the acts 
constituting
  offer and acceptance were done; or
  the acts constituting the offer and acceptance were done in Hong
Kong
  the contract provides for the goods to be delivered outside Hong
Kong;
  
  the acts constituting the offer and acceptance were done outside 
Hong
  and the contract provides for the goods to be delivered to Hong
Kong.

  Choice of law clauses
  Where the proper law of a contract is the law of Hong Kong only 
by
  ce of the parties (and apart from that choice would be the law
of some
  r country) sections 7 to 12 do not operate as part of the proper
law.
  This Ordinance has effect notwithstanding any contract 
term which
  ies or purports to apply the law of some other country, where 
(either
  oth)--
  the term appears to the court or arbitrator to have been 
imposed
  ly or mainly for the purpose of enabling the party imposing 
it to
  e the operation of this Ordinance; or
  in the making of the contract one of the parties dealt as 
consumer,
  he was then habitually resident in Hong Kong, and the essential

合肥市贯彻《安徽省计划生育条例》实施办法

第一章 总则





  第一条 为了贯彻《安徽省计划生育条例》,切实做好计划生育工作,根据我市实际情况,制定本实施办法。


  第二条 实行计划生育是每个公民的义务。本实施办法适用于合肥地区的公民和流动人口。

第二章 生育、节育





  第三条 提倡一对夫妻只生育一个孩子,除《安徽省计划生育条例》(以下简称《条例》)第五条所限定的十三种情况可再生育一个孩子外,严禁生育计划外二孩,杜绝多孩。


  第四条 农村已生育一个孩子的育龄妇女必须上环;已生育两个孩子的夫妻一方必须采取绝育措施;对计划外怀孕的,必须采取补救措施。
  城市采取综合节育措施,严禁计划外怀孕、生育。 夫妻一方为农业户口,一方为非农业户口,执行女方户口所在地的节育规定。


  第五条 节育手术对象必须在县级计划生育部门指定的卫生医疗单位或计划生育服务站施行手术,并由施术单位发给受术者节育手术证明,作为检查节育的证据之一。该证明统一编号,由施术单位和施术者盖章、签字,并留有存



  第六条 农村夫妻双方经县级计划生育部门指定的卫生医疗单位或计划生育服务站鉴定,确认为节育手术禁忌症者,应与村民委员会签定不育合同,落实其它有效节育措施。



  第七条 生育指标落实到人。育龄夫妻符合生育一孩条件的,由女方户口所在地的乡(镇)人民政府、街道办事处审批;符合《条例》第五条 规定要求再生育一个孩子的,还应报经县、市辖区计生委批准,分别发给生育通知书,并由村(居)委会或单位张榜公布。育龄妇女按规定手续领取生育通知书后才能怀孕、生育,否则作计划外怀孕、生育处理。

第三章 组织管理





  第八条 市、县(区)人民政府设立计划生育委员会。各级计划生育部门是各级政府的职能机构,负责本辖区内的计划生育工作。
  卫生、民政、计划、财政、公安、工商管理、城建管理等部门及工会、共青团、妇联、社联、科协、计划生育协会等群众团体,要密切配合,大力支持,把计划生育工作纳入本部门、团体的职责范围,共同保证这一基本国策的贯彻执



  第九条 计划生育工作实行“以块为主,条块结合”的管理体制。生育计划、统计报表和各项指标的管理,以县(区)、乡(镇、街道)为主。市、县(区)和县属区、乡(镇、街道)每年逐级下达计划生育指标。各级主要领导干部在任职期内,对计划生育工作实行责任制,逐级负责上级下达的各项指标的落实,其指标完成情况,纳入政绩考核。各级其他干部对包干地区(单位)计划生育工作的宣传教育、人口指标、节育手术、奖惩措施、统计数字五项工作负责。
  各系统(单位)负责本系统(单位)职工(包括职工夫妻在农村的一方)和居住、从业在系统(单位)内的流动人员的计划生育管理工作,有领导分管,有人做具体工作。各系统(单位)签订经济承包合同时要有计划生育工作的内容。职工出现计划外怀孕、生育,由超孕、超生夫妻双方所在系统(单位)领导负责。



  第十条 建立健全基层计划生育工作机构。乡(镇)人民政府和城市街道办事处设计划生育办公室,办公室主任享受乡(镇、街道)副职待遇,市辖区的乡、镇、街道各配两名干部,市属县的乡、镇配三名以上干部,其中要有一名能做节育手术的卫生技术人员。上述所增加人员可从总编制中调剂解决或自行招聘。招聘人员的报酬,由乡财政统筹,县财政补助。村(居)委会应有专门做计划生育工作的人员。村计划生育工作人员作为村固定补贴干部,落实报酬。
  国家机关、人民团体和企事业单位,三千人以上的,设计划生育办公室,配两名以上干部,其中一名任办公室主任(或副主任);一千人至三千人的配专职干部一至两名;一千人以下的配专职或兼职工作人员一名。各级新配备的计划生育专兼职人员,必须具有高中或相当高中以上文化程度,有一定的政策水平和工作能



  第十一条 对各级计划生育干部的工作实行岗位责任制,由同级政府(或本单位)和上级计划生育部门负责监督执行。


  第十二条 县、市辖区以下区、乡、镇、街道和机关、团体、企事业单位专职计划生育干部,按工资渠道每月发给十元岗位津贴;机关、团体、企事业单位负责避孕药具管理发放的兼职计划生育工作人员,按工资渠道每月五元岗位津贴。离岗停



  第十三条 计划生育所需经费由各级人民政府统筹安排。各级财政要列入预算,予以保证。随着经济发展和财政增收,计划生育经费应有所增加。


  第十四条 计划生育征收的社会抚育费和其它违反计划生育的罚款,由财务部门单独列帐,严格管理,只能用于计划生育事业。


  第十五条 计划生育、公安、工商管理、城建管理、民政、劳动等部门按照计划生育职责分工,共同管理流动人口计划生育工作并定期检查落实。流动人口中的已婚育龄人员,有从业单位的,由从业单位负责管理;随城镇职工生活没有从业单位的,由随从职工所在单位负责管理;工商业个体户,由发营业执照的工商管理部门负责管理;建筑安装施工人员由发施工许可证的建筑管理部门和建设单位、建筑安装施工单位负责管理,无证照、无从业单位的,由临时居住地的居民委员会或村民委员会负责管理。流入的已婚育龄人员必须办理临时户口,在申报临时户口时,公安机关须凭其原籍乡(镇、街道)计划生育办公室的流动人口计划生育证明才准办理《暂住证》、《寄住
  已婚育龄人员,离开户口所在地到异地从业、生活三个月以上者,须持户口所在乡(镇、街道)计划生育办公室的流动人口计划生育证明,到临时居住地的乡(镇、街道)计划生育办公室登记,接受审查,并签订计划生育合同,否则不予办理临时户口和从业手续。凡在临时居住地租用房屋者,必须持有与临时居住地的乡(镇、街道)计划生育办公室签订的计划生育合同书(怀孕者凭有效的生育通知书),违者对租房者和出租户各罚款一百
  各乡(镇、街道)计划生育办公室负责对辖区内流动人员计划生育情况进行检查、执罚。


  第十六条 基层要建立育龄夫妻档案,乡(镇,街道)、村(居)委会和单位必须坚持登记、统计制度,及时、准确地做好出生、节育、孕情等登记、统计工作。

第四章 奖励与处罚




  第十七条 市下达给县、市辖区的计划生育各项指标,经检查验收后按完成情况给予奖励或处罚,其中对县、市辖区领导干部和计划生育委员会负责人的奖罚款占百分之十;县、市辖区对所属区、乡(镇、街道)按同样办法进行奖罚。各级其他干部与其所包干单位同奖同



  第十八条 当年实现无多孩生育的乡(镇)和无计划外生育的街道,给予奖励,县属区实现无多孩生育,市辖区实现无计划外生育的,给予重奖;连续两年无多孩生育的乡(镇),除给予奖金外,对其主要负责人和计划生育干部按照国务院《关于国家行政机关工作人员的奖惩暂行规定》给予行政奖
  县、市辖区及所属区、乡(镇)在一九八九、一九九零两年计划外生育率高于百分之三十,多孩率高于百分之十的(以后逐年下降),按干部管理范围,依照国务院《关于国家行政机关工作人员的奖惩暂行规定》追究其主要负责人责任。



  第十九条 干部、职工超计划生育的,除按《条例》处罚个人外,由住地街道(乡、镇)对所在单位罚款二千元(夫妻所在单位各一千元),并由单位的主管部门追究超生单位领导责任。


  第二十条 县(区)、乡(镇)、村可以为农村领证“独女户”、“两女结扎户”筹集资金给予养保险。


  第二十一条 农村调整土地时,对超计划生育的家庭在超生受罚期间不增加耕地;有条件的乡、村给领取独生子女证户、“两女结扎”户适当增加耕地。


  第二十二条 按《统计法》规定,做好计划生育统计工作,虚报、瞒报、篡改、伪造、拒报统计数字、资料的,按《统计法》规定处罚。



  第二十三条 凡完不成计划生育任务的单位,不能评为先进(文明)单位;完不成本地区(系统、单位)计划生育任务的领导干部,当年不能评为先进个人。



  第二十四条 “挂户”人员超生,除按《条例》规定处罚超生者外,并由户口所在街道计划生育办公室对予以挂户的户主罚款五百元。

第五章 附则




  第二十五条 本实施办法自发布之日起施行。


  第二十六条 本实施办法由合肥市计划生育委员会负责解释。

  中华人民共和国政府和阿塞拜疆共和国政府(以下简称“缔约双方”),为缔约一方的投资者在缔约另一方领土内的投资创造有利条件,认识到相互鼓励,促进和保护此种投资将有助于促进投资者投资的积极性和增进两国的繁荣,愿在平等互利原则的基础上,加强两国间的经济合作,达成协议如下:

  第一条 本协定内:
  一、“投资”一词系指缔约一方投资者依照缔约另一方的法律和法规在缔约另一方领土内所投入的各种财产。特别是,但不限于:
  (一)动产、不动产及其他财产权利,如抵押权、质权;
  (二)公司的股份、股票和任何其他形式的参股;
  (三)金钱请求权或其他具有经济价值的行为请求权;
  (四)著作权、工业产权、专有技术和工艺流程;
  (五)依照法律授予的特许权,包括勘探和开发自然资源的特许权。
  二、“投资者”一词
  在中华人民共和国方面,系指:
  (一)依照其法律具有中华人民共和国国籍的自然人;
  (二)依照中华人民共和国的法律设立,其住所在中华人民共和国领土内的经济组织。
  在阿塞拜疆共和国方面,系指:
  (一)根据阿塞拜疆共和国有效法律取得阿塞拜疆共和国国民地位的自然人;
  (二)在阿塞拜疆领土内根据阿塞拜疆共和国有效法律设立并从事经济活动的法人,而无论其组织形式或其代表身份。
  三、“收益”一词系指由投资所产生的款项,如利润、股息、利息、提成费和其他合法收入。
  四、“领土”一词
  在中华人民共和国方面,系指:
  中华人民共和国根据其国内法所确定的领土以及根据国际法中华人民共和国拥有主权、主权权利或管辖权的毗邻区域。
  在阿塞拜疆共和国方面,系指:
  阿塞拜疆的领土,包括根据国际法和阿塞拜疆共和国国内立法已经或可能被指定由阿塞拜疆共和国行使与底土、海床、大陆架及自然资源有关权利的海域和任何区域。

  第二条
  一、缔约一方应鼓励缔约另一方的投资者在其领土内投资,并依照其法律和法规接受此种投资。
  二、缔约一方应为到或在其领土内从事与投资有关活动的缔约另一方国民获得签证和工作许可提供帮助和便利。

  第三条
  一、缔约任何一方的投资者在缔约另一方的领土内的投资和与投资有关的活动应受到公正与公平的待遇和保护。
  二、本条第一款所述的待遇和保护不应低于其给予任何第三国投资者的投资及与投资有关的活动的待遇和保护。
  三、本条第一款和第二款所述的待遇和保护,不应包括缔约另一方依照关税同盟、自由贸易区、经济联盟、避免双重征税协定和为了方便边境贸易而给予第三国投资者的投资的任何优惠待遇。

  第四条
  一、缔约任何一方不应对缔约另一方的投资者在其领土内的投资采取征收、国有化或其他类似措施(以下称“征收”),除非符合下列条件:
  (一)为了公共利益;
  (二)依照国内法律程序;
  (三)非歧视性的;
  (四)给予补偿。
  二、本条第一款(四)所述的补偿,应等于宣布征收时被征收的投资财产的价值,应是可以兑换的和自由转移的。补偿的支付不应无故迟延。

  第五条 缔约一方的投资者在缔约另一方领土内的投资,如果由于战争、全国紧急状态、暴乱、骚乱或其他类似事件而遭受损失,若缔约另一方采取有关措施,其给予该投资者的待遇不应低于给予任何第三国投资者的待遇。

  第六条
  一、缔约任何一方应在其法律和法规的管辖下,保证缔约另一方投资者转移在其领土内的投资和收益,包括:
  (一)利润、股息、利息及其他合法收入;
  (二)投资的全部或部分清算款项;
  (三)与投资有关的贷款协议的偿还款项;
  (四)本协定第一条第一款第(四)项的提成费;
  (五)技术援助或技术服务费、管理费;
  (六)与投资有关的承包工程的支付款项;
  (七)在缔约一方的领土内从事与投资有关活动的缔约另一方国民的收入。
  二、上述转移应依照转移之日接受投资缔约一方通行的汇率进行。

  第七条 如果缔约一方或其代理机构对其投资者在缔约另一方领土内的某项投资做了担保,并据此向投资者作了支付,缔约另一方应承认该投资者的任何权利或请求权转让给了缔约一方或其代理机构,并承认缔约一方或其代理机构对上述权利或请求权的代位。代位的权利或请求权不得超过原投资者的原有权利或请求权。

  第八条
  一、缔约双方对本协定的解释或适用所产生的争端应尽可能通过外交途径协商解决。
  二、如在六个月内通过协商不能解决争端,根据缔约任何一方的要求,可将争端提交专设仲裁庭。
  三、专设仲裁庭由三名仲裁员组成。缔约双方应在缔约一方收到缔约另一方要求仲裁的书面通知之日起的两个月内各委派一名仲裁员。该两名仲裁员应在其后的两个月内共同推举一名与缔约双方均有外交关系的第三国的国民为第三名仲裁员,并由缔约双方任命为首席仲裁员。
  四、如果在收到要求仲裁的书面通知后四个月内仲裁庭尚未组成,缔约双方间又无其他约定,缔约任何一方可提请国际法院院长任命尚未委派的仲裁员。如果国际法院院长是缔约任何一方的国民,或由于其他原因不能履行此项任命,应请国际法院中非缔约任何一方国民的资深法官履行此项任命。
  五、专设仲裁庭应自行制定其程序规则。仲裁庭应依照本协定的规定和缔约双方均承认的国际法原则作出裁决。
  六、仲裁庭的裁决以多数票作出。裁决是终局的,对缔约双方具有拘束力。应缔约任何一方的请求,专设仲裁庭应说明作出裁决的理由。
  七、缔约双方应负担各自委派的仲裁员和其代表出席仲裁程序的费用。首席仲裁员和专设仲裁庭的有关费用由缔约双方平均负担。

  第九条
  一、缔约一方的投资者与缔约另一方之间就在缔约另一方领土内的投资产生的任何争议应尽量由当事方友好协商解决。
  二、如争议在六个月内未能协商解决,当事任何一方有权将争议提交接受投资的缔约一方有管辖权的法院。
  三、如涉及征收补偿款额的争议,在诉诸本条第一款的程序后六个月内仍未能解决,可应任何一方的要求,将争议提交专设仲裁庭。如有关的投资者诉诸了本条第二款所规定的程序,本款规定不应适用。
  四、该仲裁庭应按下列方式逐案设立:争议双方应各任命一名仲裁员,该两名仲裁员推选一名与缔约双方均有外交关系的第三国的国民为首席仲裁员。头两名仲裁员应在争议任何一方书面通知另一方提出仲裁后的两个月内任命,首席仲裁员应在四个月内推选。如在上述规定的期限内,仲裁庭尚未组成,争议任何一方可提请解决投资争端国际中心秘书长作出必要的委任。
  五、仲裁庭应自行制定其程序。但仲裁庭在制定程序时可以参照解决投资争端国际中心仲裁规则。
  六、仲裁庭的裁决以多数票作出。裁决是终局的,对争议双方具有约束力。缔约双方根据各自的法律应对强制执行上述裁决承担义务。
  七、仲裁庭应根据接受投资缔约一方的法律(包括其冲突法规则)、本协定的规定以及缔约双方所接受的普遍承认的国际法原则作出裁决。
  八、争议各方应负担其委派的仲裁员和其代表出席仲裁程序的费用,首席仲裁员的费用和仲裁庭的其余费用应由争议双方平均负担。

  第十条 如果缔约一方根据其法律和法规给予缔约另一方投资者的投资或与投资有关的活动的待遇较本协定的规定更为优惠,应从优适用。

  第十一条 本协定适用于在其生效之前或之后缔约任何一方投资者依照缔约另一方的法律和法规在缔约另一方的领土内进行的投资。

  第十二条
  一、缔约双方代表为下述目的应不时进行会谈:
  (一)审查本协定的执行情况;
  (二)交换法律信息和投资机会;
  (三)解决因投资引起的争议;
  (四)提出促进投资的建议;
  (五)研究与投资有关的其他事宜。
  二、若缔约任何一方提出就本条第一款所列的任何事宜进行磋商,缔约另一方应及时作出反应。磋商可轮流在北京和巴库举行。

  第十三条
  一、本协定自缔约双方完成各自国内法律程序并以书面形式相互通知之日起下一个月的第一天开始生效,有效期为五年。
  二、如缔约任何一方未在本条第一款规定的有效期期满前一年书面通知缔约另一方终止本协定,本协定将继续有效。
  三、本协定第一个五年有效期满后,缔约任何一方可随时终止本协定,但至少应提前一年书面通知缔约另一方。
  四、第一至第十二条的规定对本协定终止之日前进行的投资应继续适用十年。
  由双方政府正式授权其各自代表签署本协定,以昭信守。
  本协定于一九九四年三月八日在北京签订。一式两份,每份都用中文、阿塞拜疆文和英文写成。三种文本同等作准。若解释上发生分歧,以英文本为准。
  注:缔约双方相互通知已完成各自法律程序,本协定于一九九五年四月一日起生效。
